1. About these Terms
1.1These Terms of Use ("Terms") govern your access to and use of this website (the "Website"), which is operated by Melonade Management ("Melonade", "we", "us", "our").
1.2By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website.
1.3These Terms apply to the Website only. Any services we provide to creators, brands, agencies or event hosts are governed by separate agreements.
2. Who we are and how to contact us
2.1Melonade is a talent management company working across Los Angeles, London and Hong Kong. You can contact us at hello@melonademanagement.com.
3. Eligibility
3.1The Website is intended for users aged 18 or over. If you are under 18, you may use the Website only with the involvement of a parent or guardian.
4. Permitted use
4.1You may use the Website for your own information, to learn about Melonade, our talent and our services, and to contact us.
4.2You may view pages from the Website and print them for your own reference, provided that you do not remove any copyright or other proprietary notices.
5. Prohibited conduct
5.1You must not do any of the following.
(a)Use the Website in any way that breaches any applicable law or regulation, or in any way that is fraudulent or harmful.
(b)Attempt to gain unauthorised access to the Website, the server on which it is stored or any connected system or database.
(c)Introduce viruses, malware or any other material that is malicious or technologically harmful.
(d)Carry out a denial-of-service attack or otherwise interfere with the proper working of the Website.
(e)Use any automated means, including robots, scrapers or data mining tools, to access, copy or extract content from the Website, other than search engines indexing the Website.
(f)Copy, reproduce, distribute, modify or commercially exploit any content from the Website without our prior permission.
(g)Use the Website to send unsolicited communications, or impersonate any person or organisation.
(h)Submit through our enquiry form any content that is false, misleading, defamatory or offensive, or that infringes the rights of others.
6. Intellectual property
6.1The Website and its content, including its text, graphics, design, layout and logo, and the Melonade name and monogram, are owned by or licensed to Melonade and are protected by copyright, trade mark and other intellectual property laws. All such rights are reserved.
6.2Photographs and other content featuring the creators we represent may be owned by those creators, by photographers or by the brands with which they were created. Nothing in these Terms grants you any right to use them.
6.3You may not use the names, images, voices or likeness of the creators we represent for any commercial purpose without an agreement with Melonade.
6.4Brand names and logos. The brand names and logos shown on the Website, including in the sections headed "Brands our talent has worked with" and "Causes we support", are the trade marks of their respective owners. They are shown only to identify brands with which creators we represent have worked and organisations we support. Their appearance does not imply that any brand or organisation endorses Melonade or the Website, or that any relationship exists between them and Melonade beyond that work or support.
7. Enquiries and submissions
7.1Sending an enquiry through the Website or by email does not create a contract between you and Melonade or any creator, and does not oblige us to accept any proposal or to make any creator available.
7.2The representation of a creator, and any brand partnership, appearance, event attendance or other work, will be agreed only under a separate written agreement.
7.3You must ensure that any information you provide is accurate and that you are entitled to share it, including any personal data of other people.
7.4We handle personal data contained in enquiries in accordance with our Privacy Policy.
7.5If you send us ideas, proposals or creative material, we are under no obligation to treat them as confidential or to use them, unless we agree otherwise.
8. Links to other websites
8.1The Website contains links to websites operated by others, such as Instagram. These links are provided for your convenience only. We have no control over those websites and are not responsible for their content, availability or privacy practices.
9. Availability of the Website
9.1We do not guarantee that the Website will always be available or that it will be uninterrupted. We may suspend, withdraw or change all or any part of the Website without notice for business or operational reasons.
9.2You are responsible for configuring your device and software to access the Website and for using your own virus protection.
10. Disclaimer
10.1The content of the Website is provided for general information only. It is not intended to amount to advice on which you should rely, and nothing on the Website constitutes an offer capable of acceptance.
10.2Although we make reasonable efforts to keep the content of the Website up to date, we make no representations, warranties or guarantees, whether express or implied, that it is accurate, complete or current. Creator availability, our services and other information may change without notice.
11. Limitation of liability
11.1Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.
11.2Subject to clause 11.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising under or in connection with your use of, or inability to use, the Website or your reliance on any content on it.
11.3If you are a business user, we will not in particular be liable for any loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss or damage.
11.4If you are a consumer, we provide the Website for domestic and private use only, and we are not liable to you for any business losses.
12. Indemnity
12.1To the extent permitted by law, you agree to indemnify Melonade against any losses, damages, costs and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Website.
13. General
13.1Severability. If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision will be treated as deleted to the extent necessary, and the remaining provisions will continue in full force and effect.
13.2Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Melonade relating to your use of the Website.
13.3No waiver. If we do not insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you or delay in doing so, this will not mean that we have waived our rights against you.
13.4Third-party rights. No person other than you and Melonade has any right to enforce any of these Terms under the Contracts (Rights of Third Parties) Act 1999.
13.5Transfer. We may transfer our rights and obligations under these Terms to another organisation.

14.1We may revise these Terms at any time by updating this page. Please check this page from time to time, as the Terms in force at the time you use the Website apply to you. The date at the top of these Terms shows when they were last updated.
15. Governing law and jurisdiction
15.1These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes or claims, are governed by the laws of England and Wales.
15.2The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
